Core Factors Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Core Factors website, platform, assessments, AI tools, and related services (collectively, the “Site”). By creating an account, purchasing a product, or accessing any of our services, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not use the Site.

1. Account Types and Use
Core Factors provides two types of accounts: Participant Hubs for individual users and Pro Accounts for professional users administering assessments. Each account is issued to a single user and may not be shared, reassigned, or sublicensed. You are granted a limited, non-exclusive, non-transferable right to use the Site and its services for lawful and authorized purposes only. You may not attempt to replicate, reverse engineer, resell, or build competing products based on any aspect of our platform.

2. Ethical Use of Assessments
All assessment tools offered through Core Factors are intended for personal or professional development, not clinical or diagnostic purposes. Discovery users must use assessments for their own growth and understanding. Pro users are responsible for securing proper consent from respondents and providing interpretation of assessment results where applicable. Certification and adherence to Core Factors guidelines may be required for the administration of restricted instruments.

3. Access and Technical Requirements
It is your responsibility to ensure that your devices, browsers, internet access, and settings are compatible with the Site. Core Factors is not liable for any disruptions, limitations, or issues arising from user-side technical environments.

4. Security and Support
You are responsible for maintaining the confidentiality of your account credentials and for preventing unauthorized access. In the event of a suspected security breach, you must notify us immediately. Core Factors provides customer support during business hours via published contact methods, but does not guarantee 24/7 service or resolution timelines.

5. Orders, Fees, and Renewals
Products and services must be paid in full at the time of purchase unless otherwise agreed in writing. Subscriptions renew automatically unless cancelled at least thirty (30) days prior to the renewal date. You are responsible for all applicable taxes and charges associated with your purchases. Core Factors does not offer refunds for unused or expired purchases except as required by law.

6. Platform Availability and Modifications
Core Factors aims to maintain continuous access to the platform but cannot guarantee uninterrupted availability. We reserve the right to modify, suspend, or discontinue any part of the Site or its services without prior notice, including the addition or removal of features.

7. Data Privacy and Processing
Core Factors processes personal data in accordance with applicable privacy laws including GDPR and the California Privacy Rights Act (CPRA). By using the Site, you acknowledge and consent to the collection, use, transfer, and storage of your information in the United States. When administering assessments to others, you are solely responsible for obtaining lawful consent from data subjects. Subprocessors engaged by Core Factors are contractually bound to comply with data protection standards, and security measures are in place to safeguard all data.

8. Data Ownership and Retention
You retain ownership of any personal or business data you submit through the Site. You may request deletion of your personal data at any time. Core Factors will retain non-personally identifiable assessment data indefinitely for research, development, and analytics purposes. Personally identifiable data will be deleted or anonymized in accordance with our Privacy Policy and data retention practices.

9. Intellectual Property and Platform Integrity
All content, assessments, platform features, AI models, and reports are the intellectual property of Core Factors or its licensors. You may not copy, republish, distribute, reverse engineer, or create derivative works based on our content or tools. You further agree not to use Core Factors’ platform or outputs to train, develop, or support a competing product or service. Any unauthorized derivative works are automatically and irrevocably assigned to Core Factors, and you waive any moral rights you may claim over such works.

10. Confidentiality
You agree to keep all confidential or proprietary information you access through the Site or in connection with Core Factors’ services private and secure. This includes product content, software, internal business processes, and data not intended for public disclosure. This obligation survives the termination of your account.

11. Beta Features and Experimental Services
From time to time, Core Factors may offer access to beta features or experimental tools. These features are provided “as is,” may change without notice, and may be withdrawn at any time. Your use of such features is at your own risk.

12. Compliance with Export and Sanctions Laws
You may not access or use the Site in any jurisdiction subject to U.S. or international sanctions. You represent that you are not listed on any prohibited parties list, and you agree not to export any services or data in violation of applicable laws.

13. User Conduct
You agree not to use the Site for any unlawful or prohibited purpose, including but not limited to transmitting malware, harvesting user data, impersonating others, infringing on intellectual property, or attempting to gain unauthorized access to any systems or networks. You also agree not to disrupt or interfere with the functionality of the Site or its services.

14. Third-Party Services
Core Factors may include links or integrations with third-party services for analytics, advertising, or functionality. Core Factors is not responsible for the privacy practices, content, or performance of any third-party provider.

15. User Submissions and Feedback
Any content, feedback, or suggestions submitted by you to Core Factors shall be considered non-confidential and non-proprietary. By submitting such material, you grant Core Factors a perpetual, irrevocable, royalty-free license to use, modify, and implement it without obligation to compensate you.

16. Limitation of Liability
Core Factors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or services, even if we have been advised of the possibility of such damages. Our total liability under these Terms shall not exceed the total amount paid by you in the twelve (12) months preceding the event giving rise to the claim.

17. Disclaimers
The Site, including all tools, assessments, and content, is provided “as is” without warranties of any kind, express or implied. Core Factors disclaims any warranty of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, secure, or error-free. Evidentra is an AI assistant and does not provide medical, legal, or licensed psychological advice.

18. Indemnification
You agree to indemnify and hold harmless Core Factors, its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, or expenses arising out of your use of the Site, violation of these Terms, or infringement of third-party rights.

19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Riverside County, California.

20. General Terms
If any part of these Terms is deemed unenforceable, the remainder shall remain in full force. Notices shall be sent to the contact address provided below. These Terms, along with our Privacy Policy, Cookie Policy, Do Not Sell My Personal Information, and AI Use Notice, constitute the full agreement between you and Core Factors. No waiver of any provision shall be deemed a further or continuing waiver. You may not assign your rights without written permission. These Terms may be updated from time to time, and continued use of the Site constitutes your acceptance of any modifications.
